Terms of Service

By accessing or using VigiVend's software infrastructure, API services, Virtual Escrow functionality, or any related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our Services.

VigiVend reserves the right to modify these Terms at any time. Continued use of the Services after any such modifications constitutes your acceptance of the updated Terms.

Software Infrastructure and API Services: VigiVend provides software infrastructure, API services, and machine learning-powered verification tools for digital transaction authentication and data verification. VigiVend is not a licensed financial institution and does not provide banking, lending, or other regulated financial services.

Virtual Escrow Services: Our Virtual Escrow functionality enables programmable fund holding during transaction verification processes. All Virtual Escrow funds are managed by our licensed banking partners and are not held directly by VigiVend. VigiVend acts solely as the technology layer facilitating these escrow arrangements.

ML Data Processing: We provide machine learning services for document verification, receipt authentication, and fraud detection. These services process data submitted through our API, Android application, and WhatsApp bot interfaces.

Usage Limits: API usage is subject to rate limits and quota restrictions as defined in your service agreement or API documentation. Exceeding these limits may result in throttling, temporary suspension, or additional charges.

Acceptable Use: You agree to use our Services only for lawful purposes and in accordance with these Terms. Prohibited activities include:

• Reverse engineering, decompiling, or attempting to extract source code or algorithms from our machine learning models or API endpoints
• Using our Services to facilitate fraud, money laundering, or any illegal activities
• Attempting to circumvent security measures or rate limiting mechanisms
• Interfering with or disrupting our Services or servers
• Using our Services to violate any applicable laws or regulations

ML Model Protection: Our machine learning models, algorithms, and training methodologies are proprietary to VigiVend. You may not attempt to reverse engineer, replicate, or derive our models from API responses or outputs.

You are responsible for:

• Maintaining the security of your API keys and account credentials
• Ensuring that all data submitted to our Services complies with applicable laws and regulations
• Obtaining necessary consents for processing personal data through our Services
• The accuracy and legality of content and transactions you facilitate using our Services

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

VigiVend does not guarantee that our verification services will detect all instances of fraud or that our ML models will achieve 100% accuracy. Verification results should be used as part of a broader risk management strategy.

To the maximum extent permitted by applicable law, VigiVend shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of the Services.

VigiVend's total liability for any claims arising from these Terms or your use of the Services shall not exceed the amount you have paid to VigiVend in the twelve (12) months preceding the claim.

You agree to indemnify, defend, and hold harmless VigiVend, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising from these Terms or your use of the Services shall be resolved through binding arbitration in Port Harcourt, Nigeria.
